Music Submission Agreement

In short: you own the whole song, you let Kofa and its members use it for free, you will not be paid for that use, and you can ask us to take it down.

1. Who this is between

This Music Submission Agreement is between you and Ko-fa Technologies LLC ("Kofa"). It applies to every song you submit to Kofa. It is part of the Kofa Terms of Service. If the two differ about a submitted song, this Agreement controls.

2. The song is yours to give

You confirm that you own or control every right in the song: the recording, the composition, the lyrics, the beat, every sample, and every performance in it. Nobody else has to approve this. That includes any producer, co-writer, featured artist, label, publisher, distributor or rights organization. If you bought or leased the beat, your license lets you grant everything in this Agreement.

3. What you allow

You give Kofa a non-exclusive, worldwide, royalty-free, fully paid license to store, copy, shorten, edit, stream and publicly play the song in the Kofa app and on Kofa's websites, and to let Kofa members choose it for their store pages and play it there. Kofa may also show and play the song in advertising and social media that shows Kofa. The license lasts for as long as the song is on Kofa, and afterward for copies already published or shared.

4. No payment, now or later

This is free. Kofa and its members do not owe you, and will never owe you, any fee, royalty, license payment, revenue share or other compensation for any use allowed by this Agreement. That includes performance, mechanical, synchronization and neighboring rights payments, however many times the song is played and whatever Kofa or its members earn. You give up any claim to be paid for those uses. Anything owed to a co-writer, producer, publisher or rights organization for those uses is yours to pay.

5. Credit, and no promises

Kofa will try to show your artist name with the song where it plays. Kofa does not promise to accept the song, to keep it, or that anyone will choose it, play it or follow your link. Kofa may decline or remove any song at any time, for any reason.

6. Taking your song down

You may ask Kofa to remove your song at any time by writing to support@ko-fa.com from the email address you submitted with. Within 14 days Kofa will remove it from Kofa entirely: it comes off the list of songs, and it stops playing on any store that had chosen it. Removal does not undo plays that already happened, and does not give you a claim for past use.

7. If someone else claims the song

If anyone claims that the song, or Kofa's or a member's use of it under this Agreement, violates their rights, you are responsible. You will defend Kofa and its members against that claim and pay their losses, damages, settlements and costs, including reasonable legal fees. Kofa may remove the song as soon as it learns of a claim.

8. You can agree to this

You are at least 18 years old, or the age of majority where you live. You are signing for yourself, or you have the authority to sign for the artist, group or company that owns the song. The name you type is your legal name and counts as your signature.

9. Your account is not required

You do not need a Kofa account to submit a song. Kofa keeps the name, email address, song file and other details you submit as a record of this Agreement and to contact you about the song, as described in the Privacy Policy.
